TotalEnergies Sells GreenFlex to Oteis to Create a Leading Sustainability Consultancy

• Oteis acquires TotalEnergies’ GreenFlex, integrating 800 staff and expanding its low-carbon consulting reach across Europe.
• The deal strengthens Oteis’ position in sustainable development, adding decarbonization and transition financing capabilities.
• TotalEnergies will remain a key GreenFlex client through an Energy Savings Certificates contract, reflecting continued alignment on energy efficiency.

A Strategic Refocus for TotalEnergies

TotalEnergies has agreed to sell its sustainable consultancy and solutions arm, GreenFlex, to the French consulting and engineering group Oteis. The transaction aligns with the energy major’s strategy to focus on its core business of energy production and supply while maintaining a presence in downstream sustainability initiatives through partnerships.

The divestment adds another layer to TotalEnergies’ ongoing portfolio realignment, as the company continues balancing investments in renewables and low-carbon energy with operational streamlining. The sale, subject to competition authority approval and employee consultation, reinforces its goal to consolidate business activities around scalable energy assets while supporting external ecosystem growth in sustainability services.

Oteis Expands into Energy and ESG Advisory

For Oteis Conseil & Ingénierie—a group employing more than 800 professionals across roughly 30 offices in France and Europe—the acquisition of GreenFlex represents a strategic leap. Traditionally strong in infrastructure, construction, industry, and water management, Oteis now gains a robust sustainability platform that includes environmental and social consulting, energy performance, and transition financing.

This merger brings together two complementary competencies: Oteis’ engineering and project delivery expertise, and GreenFlex’s advisory and digital tools that support corporate decarbonization and efficiency efforts. The integration positions the combined entity as one of France’s largest multidisciplinary consultancies focused on sustainable transformation across industries and regions.

Oteis has built a track record of successful integrations in recent years, using acquisitions to deepen sectoral specialization while scaling up its geographic footprint. The addition of GreenFlex extends that trajectory, opening new channels into corporate ESG services and public-sector sustainability programs.

GreenFlex’s Role in the Transition Economy

Founded in 2009 and acquired by TotalEnergies in 2017, GreenFlex has been a recognized player in Europe’s sustainability ecosystem, helping companies accelerate energy transition and reduce carbon footprints through advisory, implementation, and financing tools. Its work has spanned industrial energy audits, renewable integration, and corporate climate strategy—bridging business performance with measurable sustainability outcomes.

Under Oteis, GreenFlex’s mission remains unchanged but its reach will widen. The combined expertise will serve clients seeking turnkey solutions that move beyond consulting to implementation—covering everything from life-cycle analysis and carbon measurement to energy-saving infrastructure projects.

Continued Partnership with TotalEnergies

Although exiting ownership, TotalEnergies will remain a major customer of GreenFlex under the new structure. The companies have signed an agreement for GreenFlex to manage the production of France’s Energy Savings Certificates (Certificats d’Économies d’Énergie, or CEEs) on behalf of TotalEnergies. These certificates are a key compliance mechanism under French regulation, requiring energy suppliers to achieve specified efficiency targets.

The collaboration ensures that TotalEnergies continues to benefit from GreenFlex’s operational expertise in energy efficiency and regulatory compliance while focusing its internal resources on large-scale renewables, power generation, and supply-chain decarbonization.

Implications for Europe’s Sustainability Market

The transaction highlights an evolving trend in the European sustainability landscape: energy majors streamlining portfolios while independent engineering and consulting firms consolidate expertise to capture growth in decarbonization services. As corporates and municipalities face mounting regulatory pressure to reduce emissions, the demand for integrated advisory and engineering solutions continues to expand.

For investors and executives tracking the ESG advisory space, the deal signals deepening professionalization and scale within Europe’s sustainability services market—one increasingly driven by multidisciplinary expertise rather than niche specialization.

Upon regulatory approval, Oteis’ acquisition of GreenFlex will create a new national leader capable of bridging consultancy and implementation across low-carbon infrastructure, supporting France’s and Europe’s broader climate ambitions under the Green Deal framework.
